By accessing and using Uplicon's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services Description

Uplicon provides AI automation and consulting services including:

• AI chatbot development and deployment
• Business process automation
• AI consulting and strategy
• Custom AI solution development
• Technical support and maintenance

3. Service Packages and Pricing

Our services are provided under the following general pricing structure:

• Basic AI Chatbots: Starting from £2,500
• Process Automation: £5,000 - £15,000
• Comprehensive AI Solutions: £15,000 - £25,000
• Ongoing Support: Monthly retainer available

Exact pricing will be provided in individual proposals based on project scope and requirements.

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally, we require 50% payment upfront with the remainder due upon project completion or according to agreed milestones. Late payments may incur additional charges.

5. Project Timeline and Delivery

Typical project timelines:

• Simple AI Chatbots: 2-3 weeks
• Process Automation: 4-8 weeks
• Complex AI Solutions: 8-16 weeks

Specific timelines will be agreed upon in individual project contracts.

6. Client Responsibilities

Clients are responsible for:

• Providing accurate project requirements and specifications
• Timely feedback and approvals during development
• Providing necessary access to systems and data
• Ensuring compliance with their industry regulations
• Maintaining secure backups of their data

7. Intellectual Property

Upon full payment, clients receive ownership of custom AI solutions developed specifically for them. However, Uplicon retains rights to general methodologies, frameworks, and pre-existing intellectual property used in the development process.

8. Confidentiality

We maintain strict confidentiality regarding all client information, business processes, and data. We sign Non-Disclosure Agreements (NDAs) when required and ensure all team members adhere to confidentiality standards.

9. Warranties and Disclaimers

We warrant that our services will be performed with professional skill and care. However, AI systems are complex and may require ongoing optimization. We provide support during agreed warranty periods but cannot guarantee specific business outcomes or ROI.

10. Limitation of Liability

Our liability is limited to the total amount paid for services. We are not liable for indirect, consequential, or punitive damages. Clients are responsible for ensuring AI systems comply with their specific industry regulations.

11. GDPR and Data Protection

All AI solutions are developed with GDPR compliance in mind. We provide documentation on data processing activities and ensure appropriate technical and organizational measures are implemented. Clients remain data controllers for their business data.

12. Termination

Either party may terminate ongoing service agreements with 30 days' written notice. Project-based work cannot be terminated once development has commenced unless by mutual agreement. Payments for completed work remain due.

13. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be resolved through the courts of England and Wales or through agreed alternative dispute resolution methods.
